FRAND Principles and SEP Licensing: Rule Interpretation & Case Analysis
Dr. Chen Pei, Partner and Head of China Practice at Leydig, Voit & Mayer, delivered a presentation titled FRAND Negotiations and SEP Licensing, systematically sorting out the international regulatory framework and practical challenges surrounding Standard Essential Patent (SEP) licensing.
Starting with FRAND policies of major standard-setting organizations including ETSI, IEEE and ITU, Dr. Chen thoroughly analyzed prevalent industry pain points such as patent hold-up, patent hold-out, royalty stacking and over-declaration of patents. Drawing on landmark cases including Microsoft v. Motorola, Ericsson v. D-Link, TCL v. Ericsson, UnwiredPlanet v. Huawei and HTC v. Ericsson, he reviewed the full context of legal and market bargaining behind each ruling, and discussed how these judgments shape the global SEP licensing landscape.
Negotiation of Cross-Border IP Licensing Clauses: Commercial Negotiation & Risk Prevention
Lin Junming, China Head of LOT and CEO of Youzhi IP Operation Group, shared practical insights on negotiating clauses in cross-border IP licensing agreements.
From the strategic essence of cross-border IP licensing, Lin Junming pointed out that the core of negotiation is not merely setting royalty rates, but systematically allocating commercial value, legal control, technology access and regulatory risks across multiple jurisdictions. He highlighted the divergent negotiation logics of two types of licensors: operating entities and NPEs (Non-Practicing Entities). When negotiating with NPEs, clauses for release of claims and non-suit covenants often carry greater weight than the licensing grant itself. A robust settlement agreement with an NPE must clearly cover past claims, future sales, affiliated entities, downstream users and supplier indemnification, granting enterprises legal certainty rather than only technical usage rights.
Additionally, Lin analyzed key practical considerations including parallel litigation risks across multiple jurisdictions, injunction risks (especially injunctive relief pressure in Germany and the UPC), and royalty structure design, providing actionable negotiation frameworks for all attendees.
